Weekend/Holiday Adjustments

When the 45-day deadline falls on a weekend or federal holiday, the due date moves to the next business day. The calendar above reflects these adjustments for 2026.

Understanding the 45-Day Rule

The SEC requires Form 13F to be filed within 45 calendar days after the last day of the calendar quarter:

Q1

Jan 1 - Mar 31

Due: May 15

Q2

Apr 1 - Jun 30

Due: Aug 14

Q3

Jul 1 - Sep 30

Due: Nov 14

Q4

Oct 1 - Dec 31

Due: Feb 14

Late Filing Consequences

Filing Form 13F late can result in:

  • SEC enforcement inquiry
  • Requirement to file a late filing notification
  • Potential civil monetary penalties for repeated violations
  • Reputational concerns (late filings are publicly visible)

If you anticipate difficulty meeting a deadline, consult with securities counsel about your options.

Amendment Deadlines

If you discover errors after filing, you should file an amended 13F (Form 13F-HR/A) as soon as practicable. There's no specific deadline for amendments, but the SEC expects prompt correction of material errors.

Preparing Ahead

To ensure timely filing:

  • Week 1-2: Reconcile holdings data from your custodian/prime broker
  • Week 2-3: Verify CUSIPs against the SEC's 13(f) list
  • Week 3-4: Generate and validate your XML file
  • Week 4-5: Submit through EDGAR with buffer time for issues
